1. Acceptance of These Terms

By accessing or using this website (dioshlequiron.com, the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to any part of these Terms, please do not use the Site. Your use of the Site is also subject to our Privacy Policy and Disclaimer, each of which is incorporated by reference.

2. Definitions

  • “Operator” — Diosh Lequiron, in his personal capacity as the publisher of the Site, and HavenWizards 88 Ventures OPC, a One Person Corporation organized under Philippine law, in its capacity as the commercial counterparty for advisory, partnership, and venture engagements.
  • “Site” — dioshlequiron.com and all subdomains and pages operated by the Operator.
  • “Content” — all text, articles, case studies, code samples, images, graphics, design, and other material made available on the Site.
  • “You” / “User” — any individual or entity that accesses or uses the Site.
  • “Engagement” — any advisory, consulting, partnership, venture, or similar relationship entered into in writing between you and HavenWizards 88 Ventures OPC.

3. Who Operates the Site

The Site is published by Diosh Lequiron in his personal capacity and showcases the work of HavenWizards 88 Ventures OPC and the ventures it holds. Public information on the Site — articles, case studies, ventures pages, and personal commentary — is published for general informational purposes.

Any commercial Engagement is contracted with HavenWizards 88 Ventures OPC (or another duly authorized entity disclosed in the engagement contract), not with Diosh Lequiron in personal capacity. The Site does not, by itself, create or constitute such an Engagement.

4. Eligibility

You must be at least eighteen (18) years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding agreements to use the Site for any purpose other than basic, passive reading. By using the Site, you represent and warrant that you meet these requirements.

5. Permitted Use

You may browse, read, share links to, and quote brief excerpts from the Site for personal, non-commercial purposes, provided that you give clear attribution to the source. You agree not to:

  • Use the Site for any unlawful, harmful, or fraudulent purpose;
  • Attempt to gain unauthorized access to any portion of the Site, its servers, databases, or related infrastructure;
  • Interfere with, disrupt, overload, or impair the proper functioning of the Site (including via denial-of-service, scraping at abusive volume, or vulnerability probing without authorization);
  • Reverse engineer, decompile, or attempt to extract source code beyond what is freely served to your browser;
  • Scrape, copy, mirror, frame, republish, or redistribute substantial portions of the Content without prior written permission;
  • Use the Content to train machine learning or AI models without explicit, written permission;
  • Submit false, misleading, defamatory, or unlawful information through the contact form or any other input;
  • Misrepresent your identity or your relationship to any organization;
  • Use the Site to transmit viruses, malware, or other harmful code.

6. User Submissions

When you submit information through the contact form or any similar interface, you represent and warrant that:

  • The information is accurate, current, and not misleading;
  • You have all rights necessary to share it with us;
  • It does not violate any third party’s rights or applicable law;
  • You are not submitting another person’s personal data without their consent.

7. Intellectual Property

All Content on the Site — including text, articles, case studies, code samples, images, design, layout, and the underlying compilation — is the intellectual property of Diosh Lequiron, HavenWizards 88 Ventures OPC, or its respective licensors, and is protected by copyright, trademark, and other applicable laws.

Limited rights are granted as follows:

  • Reading and personal use of the Site are permitted.
  • Brief, properly attributed quotations for non-commercial commentary, criticism, or news reporting are permitted under the doctrine of fair use / fair dealing, subject to applicable law.
  • Linking to the Site is permitted, provided the link is not framed or misrepresented as your own content.
  • All other reproduction, distribution, public display, modification, or creation of derivative works requires prior written consent from the Operator.

8. Trademarks

“HavenWizards”, “HavenWizards 88 Ventures OPC”, “Diosh Lequiron”, and any logos, taglines, and venture names displayed on the Site are trademarks or service marks of their respective owners. Nothing on the Site grants you a license to use these marks. Third-party marks referenced on the Site (for example, client or partner logos) belong to their respective owners and are used for identification or descriptive purposes only.

9. Advisory and Commercial Engagements

The Site provides general information about advisory services, ventures, and methodologies. Nothing on the Site is an offer to enter into a contract, a binding proposal, or professional advice for your specific situation.

Any actual Engagement is governed by a separately executed, written agreement between you and HavenWizards 88 Ventures OPC (or another duly authorized entity), which will supersede these Terms with respect to the subject matter of that Engagement. Until such an agreement is signed, no advisor-client, consulting, fiduciary, or similar relationship exists between you and the Operator.

10. Third-Party Links and Resources

The Site may contain links to third-party websites, tools, or services. Such links are provided for convenience only. The Operator does not control, endorse, or assume responsibility for the content, accuracy, or practices of any third-party site. Your use of any third-party resource is at your own risk and subject to that resource’s own terms and privacy policy.

11. Disclaimers

The Site and Content are provided “as is” and “as available”, without representations, warranties, or conditions of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, or uninterrupted availability.

Without limiting the foregoing, the Operator makes no warranty that the Site will meet your requirements, that defects will be corrected, or that the Site is free of viruses or other harmful components. See also our Disclaimer.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Operator (including Diosh Lequiron, HavenWizards 88 Ventures OPC, and their respective directors, officers, employees, contractors, agents, and licensors) be liable to you for:

  • any indirect, incidental, special, consequential, exemplary, or punitive damages;
  • any loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings;
  • any damages arising from your reliance on Content, third-party links, or the unavailability of the Site;

even if we have been advised of the possibility of such damages. To the extent any liability cannot be excluded under applicable law, our aggregate liability for any claim arising out of or related to your use of the Site shall not exceed one hundred United States dollars (US$100) or its equivalent in your local currency. Liability under a separately executed Engagement contract is governed by that contract, not by this clause.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Operator from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or relating to (a) your violation of these Terms, (b) your violation of any law or third-party right, or (c) your misuse of the Site or Content.

14. Suspension and Termination

We may, at our sole discretion and without notice, restrict, suspend, or terminate your access to all or part of the Site if we believe you have violated these Terms, applicable law, or the rights of any third party, or where continued access poses a risk to the Site or other users. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. The competent courts of the Philippines shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site, subject to any mandatory consumer protections that may apply in your place of residence.

16. Dispute Resolution

Before initiating any formal proceeding, you agree to first contact us in good faith to attempt to resolve the dispute informally for a period of at least thirty (30) days. If the dispute is not resolved within that period, either party may pursue remedies available under applicable law in the courts referenced above.

17. Severability and Waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced with an enforceable provision that most closely reflects the original intent. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

18. Entire Agreement

These Terms — together with the Privacy Policy, Disclaimer, and any separately signed Engagement contract — constitute the entire agreement between you and the Operator with respect to your use of the Site, and supersede any prior or contemporaneous understandings on that subject.

19. Changes to These Terms

We may revise these Terms from time to time. The “Last updated” date at the top of this page indicates when changes took effect. We will use reasonable efforts to highlight material changes. Your continued use of the Site after a revision constitutes acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using the Site.
